Welcome to New Technology Solutions, LLC. By requesting proposals, purchasing our services or products, accessing client portals, or otherwise engaging with us, you agree to these Terms of Service. They govern IT consulting, assessments, implementation support, managed or advisory arrangements, and related deliverables provided by New Technology Solutions, LLC, together with any written statement of work or order form that references these terms.
New Technology Solutions, LLC will perform the services described in an executed proposal, statement of work, or order. Technology environments change frequently; if in-scope adjustments are required to meet the agreed objectives—for example vendor delays, discovery of undocumented dependencies, or emergency security patches—we will communicate impacts to schedule and cost before proceeding where practicable. If out-of-scope work is requested, it may be documented as a change order. Client cooperation—including timely access, accurate information, and designated points of contact—is essential for successful delivery.
Many technology initiatives depend on third-party vendors, software updates, licensing approvals, and client-side testing windows. While New Technology Solutions, LLC will provide reasonable estimates, dates are not guarantees where factors outside our reasonable control apply. New Technology Solutions, LLC is not liable for delays caused by client unavailability, incomplete prerequisites, upstream outages, or force majeure events.
Fees for professional services, retainers, and fixed-fee packages are set forth in your agreement. Unless otherwise stated, client-purchased licenses, cloud consumption, hardware, and pass-through vendor charges are billed separately and remain the client's contractual relationship with those vendors. Invoices are due according to the payment terms in the agreement. New Technology Solutions, LLC may suspend work for accounts that are materially past due, subject to applicable law and notice requirements in the contract.
Upon full payment for custom deliverables expressly identified as client-owned in the agreement (such as written reports, diagrams prepared for you, or configuration scripts authored for your environment), you receive a license to use those deliverables for your internal business purposes as described therein. New Technology Solutions, LLC retains ownership of our general methodologies, templates, tools, and pre-existing intellectual property used across clients. Unless restricted by a separate confidentiality agreement, New Technology Solutions, LLC may reference anonymized outcomes in marketing materials.
